Biography

Mike focuses his practice on complex commercial litigation. Immediately before joining Dunham LLP, Mike practiced in Delaware, where he prosecuted breach of fiduciary duty and other corporate governance claims in the Delaware Court of Chancery. He began his career as an associate at a major international law firm headquartered in New York, where he spent nearly nine years representing clients in securities, bankruptcy, M&A, and other commercial matters. He also has significant experience defending clients against class-action consumer fraud and business tort claims in multiple courts.

Examples of representations:

  • Prosecuted breach of fiduciary duty and other claims in the Delaware Court of Chancery on behalf of individual and institutional investors arising out of mergers, asset sales and other transactions, including transactions by special purpose acquisition companies;
  • Represented a major automotive component supplier in connection with claims brought in connection with its chapter 11 proceedings, helping to secure the company’s successful emergence from bankruptcy and the restructuring of over $680 million in debt;
  • Following a contested arbitration, reached a favorable settlement of a private equity firm’s fraud, breach of contract, tortious interference, and other claims against an Indian technology company that had sold the firm its principal asset;
  • Defended an M&A advisory firm against fraudulent transfer, preference, and equitable subordination claims brought in connection with the bankruptcy of Dreier LLP and its principal’s note fraud;
  • Defended Fortune 500 companies, as well as private equity, asset management, and other Wall Street firms against claims for, among other things, breach of fiduciary duty, aiding and abetting, breach of contract, and tortious interference;
  • Defended a major automotive manufacturer against consumer fraud, breach of contract, and other claims arising out of alleged product defects in multi-district litigation involving the law of all 50 states.
